Terms of Service

1. Agreement

By accessing or using NiceFin ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is provided by NiceFin ("we", "our", "us") and is available at nicefin.app.

2. Description of Service

NiceFin is a cloud-based invoicing platform that allows users to create and manage invoices, clients, products, and company profiles. The Service includes features such as PDF invoice generation, customizable templates, multi-company support, and team collaboration.

3. Accounts

• You must provide a valid email address to create an account.
• You are responsible for maintaining the security of your email account, as it is used for authentication.
• You must be at least 18 years old or have the legal capacity to enter into a binding agreement.
• One person or legal entity may maintain multiple company profiles under a single account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to create fraudulent invoices.
• Attempt to gain unauthorized access to other users' data or accounts.
• Interfere with or disrupt the Service or its infrastructure.
• Upload malicious code or content through invoice templates or other inputs.
• Resell or redistribute the Service without our written permission.

5. Your Data

You retain ownership of all data you enter into the Service, including company information, client records, invoices, and templates. We do not claim any intellectual property rights over your content. You grant us a limited license to store, process, and display your data solely to provide the Service.

6. Team Members and Roles

Company owners can invite team members and assign roles (Admin or Member). You are responsible for managing access to your company data. We are not liable for actions taken by team members you have invited.

7. Pricing and Payment

The Service offers both free and paid plans. Paid plans are billed monthly. We reserve the right to change pricing with 30 days' advance notice. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Invoice Accuracy

You are solely responsible for the accuracy of invoices generated through the Service, including tax calculations, legal compliance, and adherence to local invoicing regulations (e.g., e-Factura in Romania, EN16931 in the EU). NiceFin provides tools to assist with invoicing but does not provide tax or legal advice.

11. Termination

• You may delete your account at any time.
• We may suspend or terminate your account if you violate these Terms.
• Upon termination, your data will be retained for 30 days to allow recovery, then permanently deleted (except where required by law).

12. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Romania. Any disputes shall be resolved in the courts of Bucharest, Romania.
